1. Acceptance of Terms

Welcome to Chatkuy. These Terms of Service ("Terms") constitute a legally binding agreement between you and Chatkuy ("we," "us," or "our") governing your access to and use of the Chatkuy mobile application and related services (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and the terms "you" and "your" will refer to both you and the organization.

These Terms should be read together with our Privacy Policy, which describes how we collect, use, and protect your information.

2. Eligibility and Age Requirement

To use the Service, you must meet the following requirements:

• You must be at least 18 years of age
• You must have the legal capacity to enter into a binding agreement
• You must not be prohibited from using the Service under applicable laws
• You must comply with all applicable local, state, national, and international laws and regulations

By using the Service, you represent and warrant that you meet all of the above eligibility requirements. If we discover that you do not meet these requirements, we reserve the right to immediately suspend or terminate your account.

3. User Accounts and Responsibilities

3.1 Account Registration

To access certain features of the Service, you must create an account. During registration, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information to keep it accurate, current, and complete
• Use only one account per person
• Not create an account using false information or on behalf of someone else without authorization

3.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials, including your email address and password. You agree to:

• Use a strong and unique password
• Not share your account credentials with any third party
• Immediately notify us of any unauthorized access or use of your account
• Log out from your account when using shared or public devices
• Take all necessary precautions to protect your account from unauthorized access

You are responsible for all activities that occur under your account, whether authorized by you or not. We are not liable for any loss or damage arising from unauthorized use of your account.

3.3 Account Deletion

You may delete your account at any time through the Service settings or by contacting us. Upon account deletion:

• Your account and profile information will be permanently deleted
• Your user-generated content may be removed from the Service
• You will no longer be able to access your account or any associated data
• Some information may be retained as required by law or for legitimate business purposes

Account deletion is permanent and cannot be undone. Please ensure you have backed up any important information before deleting your account.

4. Acceptable Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Violate any applicable local, state, national, or international law or regulation
• Infringe upon the rights of others, including intellectual property rights, privacy rights, or other legal rights
• Transmit any content that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated systems (bots, scripts, or scrapers) to access or interact with the Service without our prior written consent
• Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks
• Collect or harvest information about other users without their explicit consent
• Transmit spam, chain letters, or unsolicited communications
• Engage in any activity that could harm, exploit, or endanger minors
• Use the Service to promote or facilitate illegal activities

4.1 Prohibited Conduct Related to Location Features

Chatkuy's location-based features are designed to help users discover and connect with nearby users. You agree NOT to:

• Stalking or Harassment: Use location information to stalk, harass, threaten, intimidate, or harm other users
• Location Misuse: Misuse location data or proximity information to track, follow, or monitor other users without their consent
• Location Spoofing: Use location spoofing tools, GPS manipulation, or other methods to falsify your location or appear in locations where you are not physically present
• Data Scraping: Scrape, collect, or harvest location data, user proximity information, or distance calculations from the Service
• Unauthorized Tracking: Use the Service to track or monitor the location of other users for any unauthorized purpose
• Location-Based Abuse: Use location features to engage in any form of abuse, harassment, or unwanted contact based on another user's location
• Commercial Use of Location Data: Use location data or proximity information for any commercial purpose without our prior written consent

Violation of these location-related prohibitions may result in immediate account suspension or termination, and we may report such activities to law enforcement authorities.

4.2 Prohibited User Interactions

You agree NOT to engage in the following prohibited behaviors when interacting with other users:

• Harassment: Harass, bully, intimidate, or threaten other users through messages, posts, or any other means
• Abuse: Engage in any form of verbal, emotional, or psychological abuse toward other users
• Stalking: Repeatedly contact, follow, or monitor other users after they have indicated they do not want such contact
• Unwanted Contact: Continue to contact other users after they have blocked you or requested that you stop contacting them
• Inappropriate Content: Send or share content that is sexually explicit, violent, discriminatory, or otherwise inappropriate
• Fraud or Scams: Engage in fraudulent activities, scams, or attempts to deceive other users
• Impersonation: Impersonate other users, celebrities, public figures, or any other person or entity

5. User-Generated Content (UGC)

5.1 Content Ownership

You retain ownership of any content you create, post, upload, or share through the Service ("User-Generated Content" or "UGC"), including but not limited to:

• Profile information and photos
• Posts, messages, and communications
• Images, videos, and other media files
• Comments and other interactions

5.2 License to Chatkuy

By posting, uploading, or sharing UGC through the Service, you grant Chatkuy a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to:

• Use, reproduce, modify, adapt, publish, translate, and distribute your UGC
• Display and perform your UGC in connection with the Service
• Create derivative works from your UGC
• Use your UGC for promotional and marketing purposes

This license is granted solely for the purpose of operating, providing, promoting, and improving the Service. You represent and warrant that you have all necessary rights to grant this license.

5.3 Content Responsibility

You are solely responsible for your UGC. You represent and warrant that:

• You own or have the necessary rights, licenses, and permissions to post, upload, or share the content
• Your content does not infringe upon the intellectual property rights, privacy rights, or other rights of any third party
• Your content complies with these Terms and all applicable laws and regulations
• Your content is accurate and not misleading

5.4 Content Moderation

We reserve the right, but are not obligated, to review, monitor, edit, or remove any UGC at our sole discretion. We may remove content that:

• Violates these Terms or our Content Policy
• Is illegal, harmful, or objectionable
• Infringes upon the rights of others
• Is reported by other users as inappropriate

We may take these actions with or without notice to you. We are not obligated to monitor or review all UGC, but we may do so at any time.

5.5 Advertising

The Service may display advertisements, including advertisements served by third-party advertising networks such as Google AdMob. These advertisements may be targeted based on various factors, including your use of the Service. You acknowledge and agree that:

• We may display advertisements in connection with the Service
• Third-party advertisers may collect and use information about you in accordance with their privacy policies
• We are not responsible for the content of third-party advertisements
• Your interactions with advertisements are subject to the terms and policies of the applicable advertising network

6. Account Suspension and Termination

6.1 Termination by You

You may stop using the Service at any time by deleting your account as described in Section 3.3. You are not required to notify us before deleting your account.

6.2 Termination by Us

We reserve the right to suspend or terminate your access to the Service, with or without prior notice, for any reason, including but not limited to:

• Violation of these Terms or our Content Policy
• Engagement in fraudulent, abusive, harassing, stalking, or illegal activities
• Misuse of location data or location-based features, including stalking, harassment, or unauthorized tracking of other users
• Violation of location-related prohibitions as described in Section 4.1
• Engagement in prohibited user interactions as described in Section 4.2
• Failure to pay any fees owed to us (if applicable)
• Extended periods of account inactivity
• Requests by law enforcement or government agencies
• Discontinuation or material modification of the Service
• Any conduct that we determine, in our sole discretion, poses a risk to other users or the integrity of the Service

We may suspend or terminate your account immediately, without prior notice, if we determine that you have engaged in serious violations, including but not limited to stalking, harassment, threats, or misuse of location data.

6.3 Effect of Termination

Upon termination of your account:

• Your right to access and use the Service will immediately cease
• We may delete your account and associated data
• Your UGC may be removed from the Service
• You will not be entitled to any refund of fees (if any fees were paid)

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.

7. Intellectual Property Rights

7.1 Service Ownership

The Service, including its original content, features, functionality, design, logos, trademarks, and all intellectual property rights therein, are owned by Chatkuy and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include the right to:

• Copy, modify, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble the Service
• Remove any copyright, trademark, or other proprietary notices
• Use the Service for any commercial purpose without our prior written consent
• Transfer or sublicense your rights under this license

7.3 Trademarks

"Chatkuy" and related logos, names, and marks are trademarks of Chatkuy. You may not use our trademarks without our prior written consent.

7.4 Copyright Infringement

If you believe that your copyright has been infringed by content on the Service, please contact us with the following information:

• A description of the copyrighted work that you claim has been infringed
• The location of the allegedly infringing content on the Service
• Your contact information
• A statement that you have a good faith belief that the use is not authorized
• A statement that the information is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner

8. Disclaimer and Limitation of Liability

8.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Defects will be corrected
• The Service is free of viruses or other harmful components
• The results obtained from using the Service will be accurate or reliable

8.1.1 Location Data Accuracy Disclaimer

IMPORTANT: Location data, proximity information, and distance calculations provided by the Service are approximate and may not be 100% accurate. Location accuracy depends on various factors, including:

• GPS signal strength and availability
• Network connectivity and Wi-Fi positioning accuracy
• Device hardware capabilities and settings
• Environmental factors (indoor vs. outdoor, urban vs. rural areas)
• Location update frequency and timing

We do not guarantee the accuracy, reliability, or completeness of location data, proximity information, or distance calculations. The Service may display users as "nearby" even when they are not physically present at the indicated location, or may fail to display users who are actually nearby. You acknowledge and agree that:

• Location and proximity information should not be relied upon for critical decisions or safety purposes
• Distance calculations are estimates and may vary significantly from actual physical distances
• Location data may be delayed, outdated, or inaccurate
• We are not responsible for any consequences arising from reliance on location or proximity information

You use location-based features at your own risk and should exercise caution when meeting other users in person based on location information provided by the Service.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHATKUY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or use
• Loss of goodwill or business opportunities
• Cost of procurement of substitute services
• Personal injury or property damage
• Any other damages arising out of or in connection with your use of the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

8.2.1 Limitation of Liability for User Interactions

IMPORTANT: Chatkuy is a platform that facilitates connections between users. We are not responsible for the conduct of users, whether online or offline. You acknowledge and agree that:

• User Interactions: We are not responsible for any interactions, communications, or relationships between you and other users of the Service. You are solely responsible for your interactions with other users.
• User Content: We do not endorse, verify, or guarantee the accuracy, completeness, or truthfulness of any user-generated content, including profile information, messages, or posts.
• In-Person Meetings: If you choose to meet other users in person, you do so at your own risk. We are not responsible for any harm, injury, loss, or damage that may occur as a result of in-person meetings or interactions with other users.
• Location-Based Risks: We are not responsible for any harm, injury, loss, or damage arising from the use of location-based features, including but not limited to stalking, harassment, or misuse of location information by other users.
• Third-Party Conduct: We are not responsible for the actions, content, or conduct of third parties, including other users, advertisers, or third-party services integrated with the Service.

YOU ACKNOWLEDGE THAT YOU USE THE SERVICE AT YOUR OWN RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS. WE STRONGLY RECOMMEND THAT YOU EXERCISE CAUTION AND USE YOUR BEST JUDGMENT WHEN INTERACTING WITH OTHER USERS, ESPECIALLY WHEN MEETING IN PERSON.

If you experience harassment, abuse, stalking, or any other harmful behavior from another user, please report it to us immediately and consider contacting local law enforcement if necessary.

8.3 Third-Party Services

The Service may contain links to third-party websites, services, or resources, including but not limited to Google AdMob for advertising. We are not responsible for the availability, accuracy, or content of such third-party services. Your interactions with third-party services are solely between you and the third party, and we are not liable for any loss or damage arising from such interactions.

Third-party services, including Google AdMob, may collect and use information about you in accordance with their own privacy policies and terms of service. We encourage you to review the privacy policies and terms of service of any third-party services you interact with.

9. Changes to These Terms

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. We will notify you of material changes by:

• Updating the "Last Updated" date at the top of this page
• Sending you a notification through the Service (if applicable)

Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and delete your account.
